1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("You" or "Merchant") and ETISALAT ENTERPRISE PRIVATE LIMITED ("Company", "we", "us", or "our"), CIN: U62090MH2025PTC438482, GSTIN: 24AAICE6002F1Z4, with its operational headquarters at Shop No. 314, Third Floor, The Gelleria, Nr. Anupam Business Hub, Yogi Chowk to Kiran Chowk Road, Yogi Chowk, Surat - 395010, Gujarat, India.

2. Description of Services

Etisalat Enterprise Private Limited provides:

• Payment Aggregation & Technology Integration: Providing electronic routing, API endpoints, software interfaces, and checkout redirection connecting merchants, customers, acquiring banks, and payment networks.
• Corporate Payout Infrastructure: Automated fund transfer systems via IMPS, NEFT, RTGS, and UPI.
• Financial Advisory Services: Commercial consulting, debt syndication evaluation, balance sheet restructuring, capital budgeting, and statutory compliance assistance.

3. Merchant Eligibility & KYC Obligations

To access our payment gateway and merchant APIs, you must be a legally incorporated entity, sole proprietorship, partnership firm, LLP, or adult individual in India authorized to execute commercial contracts. You agree to submit authentic, current, and verifiable KYC documents (PAN, GSTIN, Incorporation Certificate, Bank Statements, Board Resolution, and Authorized Signatory ID proofs) prior to service activation.

4. Settlement & Payout Cycles

Funds captured via the payment gateway shall be settled to the Merchant's verified domestic bank account in accordance with the agreed settlement schedule (Standard T+1 or T+0 priority routing), net of agreed Merchant Discount Rate (MDR), applicable convenience fees, GST, and chargeback reserves, subject to RBI regulations.

5. Prohibited Activities

Merchants agree not to use the platform for any illegal goods, prohibited gaming, unlicensed gambling, pyramid schemes, counterfeit items, unauthorized forex trading, or any activities explicitly barred under the Prevention of Money Laundering Act (PMLA), 2002 or RBI notifications.

6. Financial Advisory Disclaimer

Advisory opinions provided by Etisalat Enterprise Private Limited are based upon documents and assumptions provided by the client. While we endeavor to offer prudent institutional financial advice, all commercial investment, borrowing, and business decisions are ultimately undertaken at the client's own discretion and risk. We do not guarantee loan sanction from third-party lending institutions.

7. Intellectual Property

All software, SDKs, logos, designs, website code, and proprietary algorithms are the exclusive intellectual property of Etisalat Enterprise Private Limited.

8. Governing Law & Dispute Resolution

These terms shall be governed by and construed in accordance with the laws of the Republic of India. Any legal dispute or claim arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts situated in Surat, Gujarat, India.
